Terms of Service

These Terms of Service ("Terms") govern access to and use of Capital Command, a subscription-based software platform operated by Wood Capital LLC ("Company," "Capital Command," "we," "our," or "us").

Capital Command provides technology services to fire departments, emergency medical services organizations, emergency management agencies, municipalities, fire districts, nonprofit public safety organizations, and other authorized entities ("Customer").

By registering an account, accepting these Terms electronically, purchasing a subscription, or using the Service, the individual accepting these Terms represents that they are legally authorized to act on behalf of the Customer.

If the individual does not have authority to bind the organization, they must not purchase a subscription on its behalf.

These Terms, together with any applicable order form, subscription confirmation, Privacy Policy, and separately executed agreement, constitute the agreement between the parties. A separately executed agreement controls in the event of an express conflict.

Capital Command is a cloud-based public safety management and funding intelligence platform.

Depending on the Customer's subscription and available features, the Service may provide:

• Federal, state, local, corporate, and private funding opportunity discovery.
• Funding eligibility research and department-specific matching.
• AI-assisted grant application preparation and writing.
• Capital improvement and long-term financial planning.
• Apparatus, fleet, and equipment inventory management.
• Equipment replacement forecasting and maintenance planning.
• Department readiness assessments and organizational planning.
• Reports and presentations for municipal officials and governing bodies.
• Funding notifications, reminders, and administrative tools.
• Additional capabilities introduced as the platform evolves.

Features may vary by subscription tier, organizational eligibility, and product availability.

Capital Command may improve, modify, replace, or discontinue features as the Service evolves, subject to applicable contractual commitments.

Capital Command provides software, research, analytical assistance, and administrative tools.

The Service is not a substitute for professional judgment, legal advice, financial advice, engineering evaluations, certified equipment inspections, or official regulatory determinations.

Customer remains responsible for its operational, administrative, financial, procurement, and funding decisions.

Capital Command does not act as a fire chief, incident commander, municipal administrator, grant-awarding agency, attorney, accountant, or licensed professional adviser.

The Service is not designed to direct emergency incident operations or serve as an emergency dispatch system.

Capital Command gathers, organizes, analyzes, and presents funding information from government agencies, private foundations, corporations, nonprofit organizations, and other sources.

Although Capital Command seeks to maintain useful and current information, funding opportunities may be modified, suspended, closed, withdrawn, or subject to additional conditions without advance notice.

Capital Command does not guarantee:

• That every available funding opportunity will be discovered.
• That a particular opportunity remains open or funded.
• That Customer qualifies for a particular program.
• That an application will be accepted, approved, or awarded.
• That any funding amount, deadline, or program requirement is error-free.
• That use of the Service will produce any particular financial result.

Customer must independently verify material program details with the official funding organization before submitting applications or making financial commitments.

Capital Command is not affiliated with, sponsored by, or endorsed by a funding organization solely because that organization's program appears in the Service.

Capital Command may incorporate artificial intelligence, automated analysis, third-party data services, and other technologies to support research, drafting, planning, forecasting, and administrative activities.

AI-assisted features may generate suggested narratives, application content, funding strategies, summaries, recommendations, or other materials.

These outputs may contain inaccuracies, omissions, outdated information, or inappropriate assumptions.

Customer is responsible for reviewing and approving all AI-generated content before relying on, publishing, or submitting it.

Capital Command does not guarantee the accuracy, originality, legal compliance, eligibility, or suitability of AI-generated content.

Customer must not represent AI-generated statements, financial figures, or supporting documentation as independently verified unless they have been reviewed and confirmed.

Use of AI does not transfer responsibility for grant submissions, operational decisions, or regulatory compliance from Customer to Capital Command.

Customer is responsible for identifying and authorizing personnel permitted to access its account.

Authorized users must maintain accurate account information and protect their login credentials.

Customer is responsible for activities performed through its authorized accounts, except to the extent caused by Company's breach of its contractual obligations.

Customer must promptly notify Capital Command of suspected unauthorized access or security incidents involving its accounts.

Capital Command may implement multifactor authentication, access restrictions, session controls, and other reasonable security requirements.

Customer retains ownership of the organizational information, documents, records, equipment inventories, financial information, and other materials it submits to the Service ("Customer Data").

Customer grants Capital Command a limited right to host, process, store, transmit, and otherwise use Customer Data solely as reasonably necessary to provide, maintain, secure, support, and improve the contracted Service, subject to the Privacy Policy and applicable data-processing commitments.

Capital Command will not sell Customer Data to advertisers or unrelated third parties.

Customer is responsible for ensuring it has the authority to upload and process the information it provides.

Capital Command retains ownership of its software, platform architecture, proprietary technology, branding, methodologies, and other intellectual property, subject to applicable third-party rights.

Customer may use reports, planning documents, funding strategies, and other generated outputs for its internal operations, governmental reporting, funding applications, and other lawful organizational purposes.

Capital Command will maintain reasonable administrative, technical, and organizational safeguards appropriate to the nature of the information it processes.

The Company may use reputable third-party hosting, payment processing, communications, analytics, and technology providers to deliver the Service.

Customer acknowledges that no internet-based system can be guaranteed completely secure or continuously available.

Capital Command will handle security incidents and legally required notifications in accordance with applicable law and any separately agreed data-processing or security terms.

Both parties agree to protect confidential information received from the other party and to use it only for legitimate purposes associated with their contractual relationship, except where disclosure is required by law or otherwise authorized.

Governmental Customers may be subject to public records laws. Nothing in these Terms requires a governmental Customer to violate an applicable public records obligation.

Capital Command offers free and paid subscription tiers, as described on its website or in an applicable order form.

The features, prices, billing frequency, and limitations of each subscription are those disclosed and accepted at the time of purchase.

Unless a separate written agreement states otherwise, paid subscriptions are subject to an initial twelve-month contractual commitment.

Where monthly billing is selected, monthly payments represent installments of the applicable twelve-month subscription commitment rather than a month-to-month cancellable agreement.

Applicable taxes and other expressly disclosed charges may be added to subscription fees.

Customer authorizes Capital Command and its payment processor to charge the approved payment method according to the accepted billing schedule.

Unless otherwise stated in an applicable order form, paid subscriptions renew for successive twelve-month terms, subject to applicable law and required renewal notices.

Customer may request nonrenewal through the account's available billing controls or an officially designated support channel.

A nonrenewal request prevents the next renewal but does not automatically eliminate payment obligations already incurred under the current subscription term.

Any required advance notice period, renewal disclosures, cancellation rights, or refund rights will be governed by the applicable subscription terms and law.

Capital Command will provide renewal notifications where required by law.

The Company will not impose renewal or cancellation conditions prohibited by applicable law.

If a required payment is unsuccessful, Capital Command may notify Customer and provide a reasonable opportunity to update payment information.

Continued nonpayment may result in restricted functionality, suspension, or termination, subject to applicable law and contractual requirements.

Suspension does not automatically extinguish valid outstanding payment obligations.

Capital Command may also suspend access where reasonably necessary to address unauthorized use, material security threats, or unlawful activity.

Capital Command will use commercially reasonable efforts to operate and maintain the Service.

Scheduled maintenance, third-party outages, security incidents, internet disruptions, and other circumstances may affect availability.

Unless a separate service-level agreement expressly provides otherwise, Capital Command does not guarantee uninterrupted or error-free availability.

Material changes affecting paid subscription functionality will be communicated as reasonably appropriate under the circumstances and applicable contractual obligations.

Capital Command may provide tools for tracking apparatus, equipment, maintenance, inspection schedules, estimated replacement timelines, and capital expenditures.

Any replacement forecast, equipment condition assessment, financial projection, or operational readiness indicator is an informational planning aid.

Such outputs do not constitute a certified mechanical inspection, engineering assessment, manufacturer recommendation, or official safety determination.

Customer remains responsible for equipment inspections, preventive maintenance, regulatory compliance, procurement, and decisions regarding whether equipment is safe for service.

Capital Command must not be used as the sole basis for determining emergency response readiness or the operational safety of apparatus and equipment.

Customer and authorized users agree not to:

• Access another organization's information without authorization.
• Circumvent security controls or attempt unauthorized system access.
• Upload malicious software or interfere with platform operation.
• Use the Service for fraudulent grant applications or intentionally false representations.
• Submit information that Customer has no lawful right to use.
• Reverse engineer or reproduce proprietary platform components except where permitted by applicable law.
• Use the Service in violation of applicable laws or regulations.

Capital Command may investigate suspected violations and take reasonable protective action.

The Service may integrate with or reference third-party websites, databases, payment processors, communications providers, mapping services, or AI technologies.

Capital Command is not responsible for the independent policies, decisions, content, or availability of unrelated third parties.

Links to outside resources are provided for convenience and research purposes and do not necessarily constitute endorsement.

Upon expiration or termination of a subscription, Customer's access to paid features may end.

Capital Command will provide a reasonable process for Customer to request or export available Customer Data, subject to technical capabilities, applicable law, retention requirements, and any separately agreed contractual obligations.

Customer Data may be retained or deleted in accordance with the Privacy Policy, documented retention schedules, applicable law, and relevant contractual requirements.

Termination does not affect rights or obligations that accrued before the termination date.

Except for warranties expressly provided in a separately executed agreement, and to the maximum extent permitted by applicable law, the Service is provided on an "as available" basis.

Capital Command does not warrant that its funding information, AI-generated content, financial forecasts, or other outputs will meet every Customer requirement or produce a particular result.

Nothing in these Terms excludes rights or warranties that cannot lawfully be excluded.

To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the Service, except where such exclusion is prohibited by law or expressly modified by a separately executed agreement.

Any aggregate monetary liability cap, exceptions for confidentiality or security breaches, treatment of gross negligence or willful misconduct, and allocation of third-party claims must be finalized in the approved contractual terms.

Nothing in these Terms requires a governmental Customer to waive sovereign or governmental immunity, provide indemnification beyond its lawful authority, or accept obligations prohibited by applicable law.

The parties' respective obligations, if any, to defend or indemnify one another against third-party claims will be governed by an applicable separately executed agreement or by indemnification provisions finalized through legal review.

No governmental Customer is required by these Terms to provide indemnification that it is legally prohibited from providing.

Government agencies, municipalities, fire districts, and other public entities may be subject to procurement rules, appropriations requirements, public records laws, and restrictions on contractual authority.

Customer is responsible for confirming that its subscription has been properly authorized and procured.

Where required, Capital Command may enter into an agency-approved order form or negotiated agreement addressing public-sector purchasing requirements.

Any nonappropriation rights, governmental immunity provisions, mandatory procurement terms, and restrictions on automatic renewal must be addressed in the applicable agreement and governing law.

Capital Command may update these Terms to reflect legal requirements, product changes, security practices, or business operations.

Material changes will be communicated through reasonable notice.

Changes will not retroactively alter an existing paid contractual commitment where prohibited by law or an applicable agreement.
