DRAFT — Not Legally Reviewed
Provisions describing what the system actually does — pricing, billing cadence, term length, the renewal mechanism — are accurate as implemented. Provisions requiring a legal judgment are marked [ATTORNEY TO DRAFT] and left unwritten; inventing them would create exactly the liability this agreement exists to prevent.
Draft — pending attorney review · Version 2026-10-30.v2-draft
This Subscription Agreement (“Agreement”) is between Wood Capital, LLC (“Wood Capital”), the company that owns and operates the Capital Command software platform (“Capital Command”), and the fire department, municipal agency, or other organization identified at checkout (“Department,” “you”), acting through the individual accepting this Agreement on the Department's behalf (the “Authorized Representative”). References in this Agreement to “Capital Command” mean the software platform and services described herein; Wood Capital, LLC is the contracting party legally responsible for the obligations set out in this Agreement.

| Plan | Monthly charge | Initial term | Total before tax |
|---|---|---|---|
| Professional | $125 | 12 months | $1,500 |
Charges are billed monthly via Stripe, Inc. to the payment method the Department provides. Applicable sales tax, where Capital Command is registered to collect it, is added to each charge. [ATTORNEY TO CONFIRM: tax-registration status and any required disclosures by jurisdiction — as of this draft, Capital Command has not registered for sales-tax collection and is not adding tax to any charge.]
Free plan. The Free plan costs $0, requires no payment method, and has no term or commitment. The Department may use it for as long as it wishes.
Capital Command provides software tools to assist Departments with grant discovery, funding identification, grant preparation, AI-assisted grant writing, and capital planning. Capital Command does not guarantee that any subscriber will qualify for, receive, or be awarded any grant, financial assistance, or other funding. All eligibility determinations, evaluations, and award decisions are made solely by the applicable funding organizations. Capital Command is not a grant-making organization and does not control, influence, or guarantee the decisions of any funder.
The Department is solely responsible for reviewing, verifying, and approving all information before any application, submission, or supporting documentation is finalized and submitted. Subscription fees are paid for access to the Capital Command platform, not for any successful funding outcome. A Department not obtaining funding does not, by itself, entitle the Department to a refund, cancellation of payment obligations, or other compensation under this Agreement, subject to applicable law.
Each subscription begins on the date of the Department’s first successful payment and continues for an initial term of 12 months, billed monthly.
This subscription does not renew automatically. To continue for another 12-month term, the Department must submit a request before the current term ends. If no request is submitted, the subscription ends at the end of the current 12-month term and no further charge is made. Capital Command sends renewal reminder notices before the end of the current term disclosing the renewal date, the next commitment period, and the monthly price.
The Department cannot cancel this subscription mid-term through self-service tools; the Stripe-hosted billing portal available to the Department is configured to prevent this. The subscription does not renew automatically (see Section 4); to continue into another 12-month term, the Department must submit a request before the current term ends. A decision not to renew does not eliminate payment obligations already due under the current term.
[ATTORNEY TO DRAFT: early-termination rights the Department must be given before the end of a 12-month term — for cause, non-performance, non-appropriation, or as required by applicable law — and how they're exercised. Today's design gives a Department no self-service way to stop paying mid-term even if it wants to stop using the product, which is a meaningful risk given a customer base that may face a non-appropriation event mid-term.]
By checking the acceptance box, the individual completing this Agreement represents that they are authorized to subscribe and bind the Department to this Agreement and to the financial commitment in Section 2, including on behalf of a municipal or public agency, and provides their full name, title, and the Department's name for Capital Command's records. This representation is self-attested and not independently verified — Capital Command does not confirm purchase-order status, procurement approval, or governing-body authorization before processing a subscription.
[ATTORNEY TO DRAFT — do not leave blank at execution: non-appropriation or fiscal-year contingency clauses, public-procurement-law compliance (including competitive-bidding and purchase-order requirements that may apply to a Department's own purchasing rules), sovereign immunity, and open-records/public-disclosure implications. Capital Command's customer base today is substantially or entirely government/public-safety agencies, which is why this section exists.]
